ProCare Charitable Foundation

The ProCare Charitable Foundation was created through the generosity of its shareholding members for the purpose of improving the health and well-being of Auckland communities.


Board of Directors

James Sclater

James has been an Independent Director of ProCare since 2009 and is Chairman of the Risk Assurance and Audit Committee and a member of the Governance and Remuneration Committee.

James is a professional company director and trustee acting for a number of companies and investment trusts, including Hellaby Holdings, Damar Industries and Opus Group (an ASX listed company). He is a chartered accountant and a member of the New Zealand Institute of Chartered Accountants and Institute of Directors. Prior to 2009, James was chairman of Grant Thornton Auckland, where he was a business advisory services director for 18 years, specialising in small to medium enterprise accounting, taxation and management advice.

Hanne Janes

Hanne Janes has extensive commercial and legal experience, including managing start-up SMEs and strategic and economic consulting with Deloitte.

Hanne's law career has spanned a diverse range of specialities including; medical and health law, professional liability, regulatory compliance, health and safety, competition, employment, civil, and relationship litigation.

Following fifteen years at the independent bar, Hanne was instrumental in establishing a health care practice at DLA Phillips Fox in 2013. In 2015 she returned to practice as a barrister with an interest in alternative organisational dispute resolution.

Dr Tom Marshall, OBE

Tom was the foundation Chair of ProCare Health Limited in 1993 to 2008 and retired from general practice in 2011. He was a general practitioner in Mount Eden, Auckland from 1966 till 2011. He is a Fellow of the New Zealand Medical Association, the Royal New Zealand College of General Practitioners and the Institute of Directors (NZ). He was formerly an Honorary Clinical Associate Professor in the Department of General Practice and Primary Health Care at the University of Auckland. Tom was formerly the President of the New Zealand Medical Association and a Member of the Board of Independent Practitioner Association Council. He is currently a Member of the Board of the Auckland Cancer Society and an Associate Editor of BMC Research Notes, a peer-reviewed, open-access online medical and biological sciences journal published in London. In 1996 Tom was awarded the Order of the British Empire for services to medicine and the community

June McCabe, Chairman

June has been an independent director on the ProCare Health Limited (PHL) Board since December 2012 and is Chairman of the Remuneration and Governance Committee and a member of the Audit and Risk Committee. She has had a diverse career in both the public and private sectors at senior levels, including 20 years of investment and banking experience. Her past and current corporate governance experience spans public, private and not-for-profit boards in the education, finance, health, housing, property, television, telecommunications, and venture capital sectors. June is a Chartered Member of the Institute of Directors. She was previously a Board member of Accident Compensation Corporation and among her current directorships is on the Northland District Health Board.
